Seattle business license renewal: what you actually need to do

If you do business in the City of Seattle, you need a Seattle business license tax certificate. It's annual, it's easy to forget, and missing it has real consequences. Here's the straightforward version.

Who needs one

Pretty much anyone doing business in Seattle — whether you're physically located here or selling into Seattle from elsewhere. That includes home-based businesses in Magnolia, Ballard, West Seattle, anywhere; service providers like consultants and contractors; retail; online sellers shipping into Seattle; rental property owners; even nonprofits with certain activities.

The city's threshold for the license itself is low, but a separate business license tax (Seattle's version of B&O) only kicks in once your Seattle-attributed gross income crosses a defined threshold. You still have to register and file even if you don't owe tax.

Where to do it

Seattle uses the FileLocal portal — a joint city portal also used by Bellevue, Tacoma, and others. From FileLocal you can:

  • Apply for the license the first time.
  • Renew annually.
  • File your quarterly or annual business license tax returns.
  • Update business info when things change.

The portal is straightforward but a little dated; have your UBI number, EIN, and revenue figures ready before you start.

When it's due

The Seattle business license is on a calendar year. You renew by December 31 for the following year. The city sends reminders, but they're easy to miss in the holiday inbox flood — and counting on the reminder is risky.

The tax return cadence is separate from the license renewal: most small businesses file business license tax quarterly or annually. The city assigns your cadence based on revenue.

What happens if you miss it

Late or unfiled returns generate penalties and interest. Repeated nonfiling can lead to formal collections and, eventually, the city pulling your license entirely. None of that is fun, and none of it should ever happen to a well-run business — it's almost always avoidable by setting a calendar reminder for mid-December.

The relationship to WA state filings

Important to keep straight: the Seattle license and Seattle business license tax are city obligations. They're entirely separate from your state-level Washington Department of Revenue filings — state B&O, state sales tax, your state business license. You can owe state tax and no city tax, or vice versa, depending on where your revenue is sourced.

That separation trips up new businesses constantly. The fix is simple: treat them as two distinct annual cycles, with two distinct portals (DOR for state, FileLocal for Seattle), and put both on your calendar.
